Dentsu Inc. Reaches Agreement to Acquire 100% of Shares in Austria's Largest Independent Integrated Media Agency, "Media At"

Dentsu Inc. (Headquarters: Minato-ku, Tokyo; President and CEO: Toshihiro Yamamoto; Capital: ¥74,609.81 million) has reached an agreement with the shareholders of Dentsu Inc. (Headquarters: Tokyo, CEO: Andreas Knie, hereinafter "media.at"), Austria's largest independent and second-largest overall media agency by revenue, to acquire 100% of its shares.

This acquisition will position our group as the second-largest advertising group in Austria. The acquisition is subject to approval by Austrian regulatory authorities.

With over 40 years of history, media.at has grown as a full-service media agency providing comprehensive solutions including consulting on communication strategies, research and data analysis, advertising planning and buying utilizing mass media, digital media, and OOH (out-of-home/transportation) media, as well as advertising effectiveness verification. Its client portfolio is robust, serving leading Austrian companies and international corporations.

According to the "Global Advertising Expenditure Growth Forecast" released in September 2016 by Carat, one of our group's global network brands*, mass advertising such as newspapers and television currently accounts for 70% of the Austrian market. However, driven by the rapid growth of digital advertising since 2014, digital is projected to become the largest advertising segment within a few years.

Following the acquisition, we will retain Media At's company name and advance collaboration with other Group companies. We will deepen cooperation particularly with Isobar and iProspect, brands specializing in digital work, and Amplifi, which provides trading desk services to deliver digital advertising to more precise targets more timely, thereby enhancing synergies within the Group in Austria.

The impact of this transaction on our consolidated results for the fiscal year ending December 2017 will be minimal.
